Novara headwind pants. Windproof front, breathing back. For me they're good to 0 degrees with a pair of smartwool medium tights. Below 0 I switch to the Headwind pants with Col d'Lizard Polartech (aka Icebike) tights.

Check out pearl izumi elite softshell pants. I wore mine at 4 below on a 45 min ride and my legs were nice and warm. I had some under armour boxers and a pearl short liner with no thermal tights.

Water resistant, not water proof. I never had an issue with snow getting through, but just in case I may pack some o2 pants to wear on top.
